Terms of service
Effective from 30 May 2026.
These terms govern your use of Codexroom. A complete, lawyer-reviewed version replaces this draft before public launch. The structure and intent below stay the same.
1.The agreement
These terms form a binding agreement between you (the customer) and Codexroom Pte. Ltd., a company registered in Singapore (the supplier). By creating an account, you accept them.
2.The service
Codexroom provides a workspace for encoding brand systems, composing decks, and sharing them. The full feature list lives in the product documentation.
3.Account
You are responsible for the security of your credentials. You authorise users inside your workspace. You assign Codexroom roles to your users.
4.Acceptable use
You agree to the acceptable use policy.
5.Fees and payment
Fees are billed in advance per the plan you select. Prices are USD by default; SGD, EUR, and GBP available at checkout. Annual plans run for 12 months. Monthly plans renew automatically. Overage charges follow the published rates. Singapore Goods and Services Tax (GST) applies to customers in Singapore at the prevailing rate.
6.Term and termination
Either party may terminate for material breach with 30 days notice. Customer may cancel a monthly plan at any time. Annual plans run to the end of the term unless terminated for breach.
7.Data and ownership
You own the data you put into Codexroom. We process it under the Data Processing Agreement. On termination, you can export your data inside 90 days.
8.Confidentiality
Each party treats the other's confidential information as confidential.
9.Warranties
Codexroom provides the service on an "as is" basis, with the warranties stated in the order form.
10.Liability
Each party's total liability is capped at the fees paid in the 12 months preceding the claim, except for confidentiality breach, data breach, and indemnity obligations.
11.Indemnification
Codexroom indemnifies you against third-party intellectual property claims arising from your authorised use of the service.
12.Governing law and disputes
These terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute, except where Enterprise customers select arbitration under the Singapore International Arbitration Centre (SIAC) Rules in their order form.
Nothing in this clause prevents either party from seeking interim relief in any court of competent jurisdiction.
13.Changes
Codexroom may update these terms with 30 days notice. Material changes require your active acceptance.
